Certificate of Incorporation
Your company’s birth certificate. Helps you prove it exists. iThe certificate provides confirmation that your company has been incorporated under the Companies Act 2006.
Memorandum and Articles of Association
Your company’s legal rule book. It says how things work when it comes to liability, directors, shares and decision-making. iThe Memorandum of Association is a written legal agreement signed by all initial shareholders of a company, agreeing to form the company. Articles of Association are the written rules which define how the company will be run. These rules are agreed on and signed by the company director, shareholders and secretary.
Share certificates
Helps you prove you own the company. You’ll need these to open a bank account. iIf a company is limited by shares, a Shareholder Certificate is sent out at the time of incorporation or just after incorporation. What’s the difference between sole trader and limited company?
Think of it this way: when you form a limited company, you put a protective shield between you and your business. Being a sole trader is the opposite – you have no protection. As a sole trader, you are responsible for any debt you might come into while you’re in business. When you register and become the director of your own limited company, you have less personal responsibility. The benefits are that you can claim back expenses, and add to your salary with dividend payments at the end of the year.
